SILTTM

Subscriber Agreement

NORMATIVEVersion 1.8 · Effective September 24, 2026

Binding agreement. By subscribing to any SILT data product, you agree to be bound by the terms below. If you do not agree, do not subscribe.

1. Definitions

  • “SILT” means Sentient Index Labs & Technology, the provider of the data products described herein.
  • “Subscriber” means the individual or organization that has purchased a subscription to one or more SILT data products.
  • “Data Products” means the S.E.B. (Sentience Evaluation Battery), AI DEFCON, S-Level, S.E.B. Projections, the C.I.B. (Code Integrity Battery), and any associated reports, datasets, dashboards, API outputs, or deliverables provided under a subscription.
  • “Evaluation Data” means all scores, ratings, indices, domain breakdowns, condition indicators, judge analyses, DEFCON ratings, S-Level classifications, projections, C.I.B. results (including the Reliance Gap and its component indices), and any derived or aggregated data delivered to the Subscriber.
  • “Forensic Watermark” means imperceptible, subscriber-specific perturbations embedded in Evaluation Data using HMAC-SHA256 derivation, enabling identification of the source subscriber from any copy of the data.

2. Grant of license

Limited license

SILT grants Subscriber a non-exclusive, non-transferable, revocable license to access and use the Evaluation Data solely for Subscriber's internal business purposes during the active subscription period. This license does not transfer ownership of any intellectual property.

3. Subscription tiers

Data Products are offered in tiered subscriptions with varying levels of access, update frequency, and features. The specific tiers available, and the entitlements of each, are those described on the product pricing page at the time of purchase, which are incorporated by reference into this Agreement.

4. Forensic watermarking

Watermark disclosure and consent

All Evaluation Data delivered to Subscriber contains Forensic Watermarks. These watermarks are imperceptible and do not alter the analytical utility of the data. By subscribing, Subscriber acknowledges and consents to the presence of Forensic Watermarks in all delivered data.

Forensic Watermarks are subscriber-specific. If any Evaluation Data — in whole or in part, in original or modified form — appears in unauthorized channels, SILT can and will identify the source subscriber through cryptographic analysis. Subscriber agrees that such identification constitutes valid evidence of the source of the unauthorized disclosure.

5. Confidentiality and restricted use

  • Subscriber shall not distribute, publish, share, sublicense, resell, or otherwise make Evaluation Data available to any third party without prior written consent from SILT.
  • Subscriber shall not remove, alter, obscure, or attempt to defeat Forensic Watermarks. Any attempt to do so constitutes a material breach of this Agreement.
  • Subscriber may reference SILT ratings (e.g., “rated DEFCON 3 by S.E.B.”) in internal documents, provided such references accurately reflect published ratings and include attribution to SILT.
  • Subscriber shall not publicly misrepresent SILT ratings as certifications, compliance determinations, or endorsements.
SILT's reciprocal commitment: Subscriber identity confidentiality

SILT will not disclose Subscriber's identity, or confirm or deny the existence of a subscription relationship with Subscriber, to any third party without Subscriber's prior written consent. This commitment does not apply where disclosure is required by law, court order, or valid regulatory demand, in which case SILT will, where legally permitted, notify Subscriber before disclosure. Any public reference to Subscriber (e.g., as a named client, case study, or press reference) requires Subscriber's separate prior written permission, and any complimentary or discounted access granted in exchange for such a reference will be disclosed alongside it.

6. Data security

Encrypted vault delivery

Evaluation Data is delivered to Subscriber via individually encrypted vaults using AES-256-GCM authenticated encryption with PBKDF2 key derivation (100,000 iterations). Each Subscriber receives a dedicated vault with unique encryption keys. Subscriber is responsible for safeguarding their access credentials.

7. Enforcement and remedies

Unauthorized distribution of Evaluation Data constitutes a material breach of this Agreement. In the event of a breach, SILT reserves the right to:

  • Immediately terminate the Subscriber's access without refund
  • Seek injunctive relief to prevent further unauthorized distribution
  • Pursue monetary damages including but not limited to: the commercial value of the leaked data, costs of forensic investigation, and reasonable attorney's fees
  • Report the breach to relevant authorities where the disclosure involves regulated data or national security implications

Subscriber acknowledges that unauthorized distribution of Evaluation Data would cause irreparable harm to SILT for which monetary damages alone would be insufficient, and therefore agrees that SILT shall be entitled to seek equitable relief including injunctions without the requirement of posting a bond.

8. Independence of evaluations

All evaluations are conducted independently. SILT does not build, deploy, or invest in AI models. Subscription fees do not influence, and cannot be used to influence, evaluation outcomes. Subscriber acknowledges that SILT ratings reflect independent assessment and may include unfavorable ratings for models that Subscriber deploys or has financial interest in.

9. No warranty on outcomes

Evaluation Data reflects SILT's assessment methodology at the time of evaluation. SILT does not warrant that evaluations predict future model behavior, guarantee safety, or constitute compliance with any law, regulation, or standard. Evaluation Data is provided “as is” for informational and risk assessment purposes. Subscriber is solely responsible for deployment decisions made using Evaluation Data. Regulatory and compliance-related use is further governed by Section 15.

10. Term and termination

Subscriptions are billed monthly or annually as selected at purchase. Either party may terminate by providing 30 days' written notice. Upon termination, Subscriber's access to the client portal and vault is revoked immediately. Deletion of Subscriber data following termination is governed by the retention schedule in Section 14. Confidentiality and restricted use obligations (Sections 4, 5, and 7) survive termination indefinitely.

11. Limitation of liability

To the maximum extent permitted by applicable law, SILT's total liability under this Agreement shall not exceed the fees paid by Subscriber in the twelve (12) months preceding the claim. SILT shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of or reliance on Evaluation Data.

12. Governing law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict-of-laws rules. Any disputes arising under this Agreement shall be resolved through binding arbitration seated in Albuquerque, New Mexico, except that SILT may seek injunctive relief in any court of competent jurisdiction to enforce Sections 4, 5, and 7. Any matter not subject to arbitration, and any action to confirm or enforce an arbitral award, shall be brought in the state or federal courts located in Bernalillo County, New Mexico, and each party consents to their jurisdiction.

13. Modifications

SILT may update this Agreement by posting a revised version with a new effective date. Material changes will be communicated to active Subscribers at least 30 days before taking effect. Continued use of Data Products after the effective date constitutes acceptance of the revised terms.

14. Data retention and deletion

30-day grace period after cancellation

Upon cancellation of a subscription, Subscriber's account enters a 30-day grace period. Access to all Data Products is revoked immediately, but the Subscriber's account credentials and encrypted data vault are preserved during this window. Reactivating the subscription within 30 days restores full access without data loss.

After the 30-day grace period expires, SILT permanently deletes the following from its systems:

  • Subscriber's account (username and password credential hash)
  • Subscriber's encrypted data vault, including all delivered Evaluation Data and watermarked copies held on SILT's behalf
  • Internal mappings between the Subscriber account and payment processor identifiers
  • Session records, access logs, and provisional credentials associated with the account

Deletion is permanent and irreversible. Once executed, SILT cannot recover Subscriber's prior account state, vault contents, or historical delivered data.

SILT retains billing, invoicing, and transaction records required for tax, accounting, anti-fraud, and legal compliance purposes in accordance with applicable law. These records are maintained primarily by SILT's payment processor (Stripe) and do not include Evaluation Data.

Confidentiality and restricted use obligations under Sections 4, 5, and 7 survive deletion of the Subscriber account and continue to apply to any Evaluation Data previously delivered to Subscriber, including data retained in Subscriber's own records or systems.

Subscriber may request expedited deletion at any time after cancellation by contacting info@sentientindexlabs.com. SILT may also delete Subscriber data earlier than 30 days following termination for material breach of this Agreement.

15. No regulatory or compliance certification

S.E.B. and C.I.B. are inputs to compliance, not certifications of it

This Section applies to every Data Product, including S.E.B. and C.I.B. SILT publishes materials, including its Regulatory Relevance notes, describing how Evaluation Data may support documentation under governance frameworks. Those materials describe potential utility only. They are not a representation that Evaluation Data satisfies, discharges, or fulfills any obligation under any of those frameworks.

Subscriber acknowledges and agrees that:

  • SILT is not an accredited certification body, notified body, registrar, auditor, or conformity assessment body under any framework, and holds no accreditation to act as one.
  • Evaluation Data is not a certification, accreditation, audit opinion, attestation, conformity assessment, regulatory approval, or legal opinion, and does not determine whether any model, system, deployment, or organization is compliant with any law, regulation, or standard.
  • No statement by SILT — on its websites, in press or marketing materials, in reports, or in correspondence — constitutes legal, regulatory, medical, or financial advice.
  • Regulatory obligations, their scope, their applicability, and their effective dates vary by jurisdiction, depend on facts specific to each deployment, and change over time. Any timeline or applicability statement published by SILT reflects SILT's understanding at the time of publication and may become inaccurate without notice.
  • Subscriber is solely responsible for determining which obligations apply to it, for its own compliance determinations and filings, and for obtaining qualified legal counsel. Subscriber does not rely on SILT for any of the foregoing.
  • Subscriber shall not represent to any regulator, auditor, customer, or other third party that its use of Evaluation Data establishes compliance with, or certification under, any framework. Section 5 restricts such representations, and this restriction survives termination.

To the maximum extent permitted by applicable law, SILT disclaims all liability arising from Subscriber's use of Evaluation Data for any regulatory, compliance, certification, audit, procurement, or legal purpose, including any regulatory finding, penalty, enforcement action, disqualification, or third-party claim resulting from such use. This Section 15 does not expand SILT's liability under Section 11 and is subject to the limitation stated there.

16. Service discontinuation

Section 10 governs termination of an individual subscription by either party. This Section governs a different event: SILT's decision to discontinue S.E.B., C.I.B., or any Data Product as an ongoing service while subscriptions remain in effect.

SILT may discontinue any Data Product, or cease operating an evaluation programme, by providing Subscriber with ninety (90) days' written notice. Subscriber's access to the client portal and vault continues through the notice period; the immediate revocation described in Section 10 applies to termination of a subscription, not to a discontinuation under this Section.

What Subscriber receives on discontinuation

A pro-rata refund of any prepaid fees covering the unused portion of the then-current subscription term, and a complete export of the Subscriber's vault contents in a machine-readable format, delivered before access ends. The export is provided once, at no additional charge, and is subject to the same confidentiality and restricted-use obligations as any other Evaluation Data.

Subscriber acknowledges and agrees that:

  • Evaluation Data already delivered to Subscriber remains licensed on the terms of this Agreement, and Sections 4, 5 and 7 survive discontinuation.
  • Discontinuation does not entitle Subscriber to continued evaluation, re-evaluation, updated ratings, or any successor product.
  • SILT will not publish new ratings attributed to a discontinued programme after the notice period ends, and ratings published before that date remain accurate as of their stated evaluation date.
  • The refund described above is Subscriber's sole and exclusive remedy for discontinuation under this Section, and is subject to the limitation stated in Section 11.

17. Return or destruction of delivered data

Restricted use survives; so, now, does an obligation to delete

Section 14 governs deletion from SILT's systems and makes the restricted-use obligations survive indefinitely for any Evaluation Data already delivered. This Section governs the copy in Subscriber's possession.

Within thirty (30) days of termination or expiry of a subscription, Subscriber shall delete or destroy all copies of Evaluation Data in its possession or control, including any extracts, derivatives, or reproductions that contain Evaluation Data.

This obligation does not extend to: (a) copies Subscriber is required to retain by applicable law, regulation, or a bona fide legal hold; (b) copies held only in routine, non-targeted backup or archival systems that are not readily accessible in the ordinary course of business; or (c) Subscriber's own analyses, notes, and internal work product, provided they do not reproduce Evaluation Data.

Where any copy is retained under (a) or (b), the confidentiality and restricted-use obligations of Sections 4, 5, and 7 continue to apply to that copy for as long as it exists, and Subscriber shall make no use of it beyond the purpose that required its retention.

On written request by SILT, Subscriber shall confirm in writing within fifteen (15) days that it has complied with this Section and shall identify any copies retained under (a) or (b) and the basis for their retention.

Nothing in this Section requires Subscriber to delete or alter any statement it has already published in reliance on Evaluation Data, provided that statement was permitted under Section 15 when made.
